Terms of Service

Last updated: September 28, 2026

1. Acceptance of Terms

Welcome! These Terms of Service are a legal contract between you ("you" or "your") and Warmstead ("Warmstead," "Company," "we," "our," or "us"). They include our Privacy Policy and Return & Refund Policy by reference (together, the "Terms" or "Agreement"). They govern your access to and use of warmsteadco.com, any applications where these Terms are posted, and any purchase you make from us (together, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must stop accessing and using the Service immediately.

These Terms contain important provisions. They include a 30-day money-back guarantee, terms for international shipping and customs charges, and provisions that require arbitration of individual claims and limit your potential remedies.

2. Orders, Pricing & Payment

2.1 Orders

All orders are subject to acceptance and availability. We may refuse or cancel any order for any reason, including suspected fraud, pricing errors, or stock limits. If we cancel an order after you have been charged, we will refund the full amount to your original payment method.

2.2 Pricing and currency

Prices are shown on the Site at the time of purchase and may change without notice. Unless the Site says otherwise, prices are listed in U.S. dollars. If you pay in another currency, your bank or card issuer may apply its own exchange rate and fees. We are not responsible for those charges.

2.3 Payment methods

You may pay by credit card or another payment method, including through checkout, express checkout, PayPal, Google Pay, or otherwise. By providing a payment method, you warrant that you are authorized to use it. You also authorize Company and any third-party payment processors to charge that payment method for the total amount due.

If we cannot verify your payment method or it is not accepted, your order may be canceled. If you provide a debit card number, you authorize all charges to be applied to that debit card. We may correct any payment errors or mistakes at any time.

3. Shipping & International Orders

3.1 Delivery times

We ship internationally. Most orders arrive within 10–15 business days of shipment. Delivery times are estimates, not guarantees. They can vary depending on your location, local carriers, and customs processing.

3.2 Customs, duties, and taxes

International orders may be subject to import duties, taxes, and brokerage fees charged by the destination country. Unless your checkout states otherwise, these charges are your responsibility and are not included in the price you pay us. If you refuse a shipment because of these charges, the charges are not refundable. Any refund will also exclude original and return shipping costs.

3.3 Accurate shipping information

You are responsible for giving us a complete and accurate shipping address. We are not responsible for orders that are delayed, lost, or returned because an address was incorrect or incomplete.

4. Refund & Return Policy

4.1 30-day money-back guarantee

Company offers a 30-day money-back guarantee on all orders. If you are not satisfied with your purchase for any reason, contact our customer support team within 30 calendar days of delivery to request a refund.

To be eligible:

  • Items must be unused and in like-new condition.
  • Items must be returned in the original packaging with all accessories, cables, manuals, and inserts included.
  • You must contact customer support within 30 calendar days of delivery to start the return.
  • You are responsible for return shipping costs.
  • Refunds will be issued to your original payment method within 10 business days after we receive the returned product.

4.2 Damaged and defective products

Shipping damage, wrong items, and missing parts must be reported within 48 hours of delivery.

Items that are defective under normal use must be reported within 30 calendar days of delivery. For defects verified by our customer support team, we provide a prepaid return label and a full refund or a free replacement at no cost to you.

For full details on our return and refund procedures, please see our Return & Refund Policy.

5. Product Information & Safe Use

5.1 Product descriptions

We try to describe and display our products accurately. However, product photos, colors, dimensions, and specifications are for reference only and may vary slightly from the item you receive. The display on your screen may not reflect a product's actual appearance.

5.2 Safe use of electronic products

You agree to use our products only as described in the included instructions and product documentation. Specifically, you agree to:

  • Use only compatible chargers, cables, and power sources, and follow all battery and charging guidance.
  • Check that each product's voltage, plug type, and power requirements are compatible with your country before use.
  • Keep products away from water, heat, and conditions they are not rated for.
  • Not open, modify, disassemble, or repair products yourself.
  • Supervise children around products that are not intended for their use.

Company is not responsible for damage, injury, or malfunction caused by misuse, improper charging, incompatible power sources, modification, or failure to follow the product instructions.

5.3 Local regulations

You are responsible for making sure that importing and using a product complies with the laws and regulations of your country.

6. Dispute Resolution

6.1 Governing law and venue

Subject to the arbitration provision below, and without waiving it, this Agreement is governed exclusively by the laws of [STATE], without regard to its conflict of law principles. The proper venue for any court action arising out of or related to this Agreement is the state and federal courts located in [STATE] (a "Court of Competent Jurisdiction").

You and Company agree to the personal jurisdiction and venue of those courts, waive any objection to them, and submit to extraterritorial service of process.

6.2 Arbitration provision

If you and Company cannot resolve a Claim through informal negotiation, the Claim will be finally and exclusively resolved by binding arbitration.

"Claim(s)" means any claim or dispute arising out of or related to this Agreement or the Service between the parties and/or any of the following: their parents, subsidiaries, affiliated entities or persons, employees, agents, members, partners, officers, owners, managers, directors, independent contractors, manufacturers, licensors, beneficiaries, successors, and/or assigns (together, "Company Entities"). Company Entities are third-party beneficiaries of this Agreement where referenced.

This arbitration provision is reciprocal, and either party's election to arbitrate is final and binding on the other. This provision is governed by the Federal Arbitration Act.

The arbitration will be started and conducted through JAMS (www.jamsadr.com) under its Streamlined Rules, as modified by this provision. If JAMS is unavailable, you and Company agree to arbitrate through an alternative arbitral forum. All remedies available under applicable law remain available in arbitration.

Unless you and Company agree otherwise in writing, the arbitration will be conducted by video conference or telephone. Either party may request an in-person hearing at a location agreed by both parties.

If you start arbitration against Company, you must pay an initial fee of $250 unless you qualify for a waiver, and the arbitrator will decide how all other arbitration costs are paid. If Company starts arbitration against you, Company will pay all costs. Each party pays its own attorney's fees unless a statute allows an award of attorney's fees.

6.3 Waiver of class actions

YOU AND COMPANY MAY ONLY BRING CLAIMS AGAINST EACH OTHER ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Unless you and Company agree otherwise, the arbitrator may not consolidate or join more than one party's claims. The arbitrator may award relief only in favor of the individual party seeking it, and only to the extent needed to address that party's individual claims.

6.4 Waiver of jury trial

You agree that without this provision, you would have the right to sue in court with a jury trial. By agreeing to these Terms, you waive that right.

6.5 Consumer rights outside the United States

If you live outside the United States, nothing in these Terms limits any mandatory consumer rights you have under the laws of your country of residence. If local law does not allow any part of this Section 6 to apply to you, that part does not apply to you, and the rest of these Terms remains in effect.

7. Disclaimers & Limitation of Liability

7.1 Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS." COMPANY, ON BEHALF OF ITSELF AND COMPANY ENTITIES, EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE. THIS INCLUDES, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE, TO THE FULLEST EXTENT PERMITTED BY LAW.

NEITHER COMPANY NOR ITS AFFILIATED ENTITIES WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED OR ERROR-FREE.

7.2 Limitation of liability

IN NO EVENT WILL COMPANY OR COMPANY ENTITIES BE LIABLE TO YOU FOR ANY OF THE FOLLOWING: INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; LOST PROFITS; LOST DATA; LOSS OF PRIVACY; COSTS OF PROCURING SUBSTITUTE GOODS OR SERVICES; OR FAILURE TO MEET ANY DUTY. THIS APPLIES REGARDLESS OF WHETHER THE LOSS OR DAMAGES WERE FORESEEABLE.

THESE LIMITATIONS APPLY WHETHER THE LOSS OR DAMAGES ARISE FROM BREACH OF CONTRACT, TORT, OR ANY OTHER THEORY. WITHOUT LIMITING OTHER PROVISIONS, IN NO EVENT WILL COMPANY BE LIABLE TO YOU FOR ANY CLAIMS EXCEEDING $100 OR THE AMOUNT YOU PAID, WHICHEVER IS GREATER, TO THE FULLEST EXTENT PERMITTED BY LAW.

8. Assumption of Risk

You knowingly and freely assume all risk when using the Service and our products. On behalf of yourself, your personal representatives, and your heirs, you voluntarily agree to release, waive, discharge, hold harmless, defend, and indemnify Company and its parents, subsidiaries, affiliated companies, employees, agents, officers, owners, directors, successors, and assigns. This covers any and all claims, actions, or losses for bodily injury, property damage, wrongful death, emotional distress, loss of privacy, or other damages that may result from your access to or use of the Service or our products, to the fullest extent permitted by law.

9. Your Use of the Service

9.1 Your qualifications

You must be at least 18 years old and legally qualified to use the Service. You warrant that all information you provide in connection with the Service is current, complete, and accurate, and that you will update it as necessary.

9.2 Limited license

If you comply with this Agreement and applicable law, Company grants you a limited license to access and use the Service solely for your personal use, in the way the Service is intended to be used. This license is non-exclusive, non-sublicensable, revocable, and non-transferable. It does not allow you to reproduce, copy, modify, reverse engineer, sell, or exploit any part of the Service without our prior express written consent.

9.3 Your account

You are responsible for keeping your account information confidential and agree to notify Company immediately of any unauthorized use of your account. We may refuse, suspend, or terminate your account at any time for any reason.

9.4 Communications

By providing your email address or phone number, or by communicating with us, you expressly consent to receive our marketing communications, including by email and text message where you have given any consent required by applicable law. You do not have to consent to promotional communications to buy any goods or services.

You can unsubscribe from marketing communications at any time by following the unsubscribe instructions in each message, replying STOP to any text message, or contacting us. If you unsubscribe, we may still send you non-promotional communications, such as order confirmations and shipping notifications.

9.5 Prohibited conduct

You may not do, or attempt to do, any of the following in connection with the Service:

  • Use the Service in any way that is not intended, or that violates these Terms or any applicable law
  • Provide false or misleading information
  • Impersonate any person or entity
  • Use automated tools to harvest information
  • Access content that is not intended for you
  • Probe or test the vulnerability of the Service
  • Interfere with the Service through malware or exploits
  • Modify, reverse engineer, or disassemble the Service's source code

9.6 Indemnification

You will defend, indemnify, and hold harmless Company and Company Entities from and against all claims, actions, demands, causes of action, and other proceedings, including attorney's fees, arising out of or related to your account, your actions, or your violation of these Terms or applicable laws.

10. Modification & Termination

10.1 Modification

Company may modify this Agreement at any time by posting a new version on the Service or by giving you other notice. Your continued access to or use of the Service means you accept the modified provisions. Otherwise, this Agreement may only be modified in a writing signed by both parties.

10.2 Errors

The Service may contain errors, inaccuracies, and omissions, which Company may correct at any time. Company may also modify or discontinue the Service at any time, including any products, descriptions, and prices.

10.3 Termination

Company may terminate this Agreement, the Service, or your account at any time for any reason without prior notice. If you wish to terminate this Agreement, stop using the Service. Sections 3, 4, 5, 6, 7, and 8 survive any termination of this Agreement.

11. Third-Party Services

The Service may link to or refer to services, websites, platforms, content, or tools run by third parties ("Third-Party Services"). Company has not reviewed and does not control Third-Party Services, and does not represent, warrant, or endorse them. Company is not liable or responsible for any loss or damage resulting from your reliance on Third-Party Services.

12. Intellectual Property

Warmstead, the Warmstead name and logo, warmsteadco.com, and all content and other materials available through the Service (together, the "Company IP") are the trademarks, copyrights, intellectual property, and proprietary content of Company or its licensors and suppliers. This excludes your content and third-party content.

Neither your use of the Service nor this Agreement gives you any right, title, or interest in the Company IP. You will not at any time challenge Company's right, title, or interest in the Company IP. All rights not expressly granted in this Agreement are reserved by Company.

13. Force Majeure

Neither party is liable for any delay or failure to perform an obligation under this Agreement if the delay or failure results from a cause beyond that party's reasonable control. Such causes include acts of God, labor disputes, electrical or power outages, telecommunications failures, pandemics, epidemics, earthquakes, storms, blockages, embargoes, customs delays, riots, acts or orders of government, acts of terrorism, and war.

14. Miscellaneous

This Agreement is the entire agreement between Company and you about the Service.

  • If any part of this Agreement is declared invalid, void, or unenforceable, the rest of the Agreement remains valid.
  • A waiver by either party of any term or condition in one instance does not waive that term or condition in any other instance, or any later breach.
  • You may not assign or transfer this Agreement without Company's prior written consent.
  • This Agreement does not create any agency, partnership, joint venture, or employer-employee relationship.
  • These Terms apply to the fullest extent permitted by applicable law and are void where prohibited.
